Clear terms. No surprises.
A website project works best when everyone knows what to expect. These terms are here to make that simple — setting out what Jollyfox will provide, what I need from you, and how things like payments, hosting, maintenance and SEO are handled.
They’re designed to protect both of us, keep projects running smoothly and, most importantly, avoid surprises along the way.
Terms and Conditions
Last updated: March 2025
These Terms and Conditions apply to website design, website development, SEO, hosting, website maintenance and related digital services provided by Jollyfox, a sole trader business based in Ireland.
By approving a quotation, proposal or project, or by instructing Jollyfox to commence work, the client agrees to these Terms and Conditions.
1. Services
Jollyfox provides website design, website development, search engine optimisation (SEO), website hosting, website maintenance and related digital services.
The specific services to be provided will be set out in the quotation, proposal, email or other written agreement supplied to the client.
Any work requested outside the agreed scope may be charged separately at the applicable Jollyfox hourly rate.
2. Quotations and estimates
Quotations are based on the information available to Jollyfox at the time they are prepared.
Unless otherwise stated, quotations are valid for 30 days.
A quotation or estimate is not a fixed price for additional work that falls outside the agreed scope.
Where additional work is required, Jollyfox will normally advise the client before carrying out significant additional work.
The current standard hourly rate for additional website development, content changes and other work is €45 per hour, unless a different rate has been agreed in writing.
3. Project commencement
Work will normally begin once the client has approved the quotation or proposal and supplied the information, content, access details and other materials reasonably required to begin the project.
Jollyfox may postpone the commencement or progress of a project where required information, content, approvals or access have not been provided.
4. Client responsibilities
The client is responsible for providing accurate and complete information, content, images, branding materials, login details and other materials required for the project.
The client is also responsible for ensuring that information supplied to Jollyfox is accurate and that they have the necessary rights and permissions to use any text, photographs, videos, logos, documents or other materials supplied.
Delays caused by the client, including delays in providing content, feedback, approvals or access, may affect the project timetable.
5. Website content
Unless specifically included in the quotation, the client is responsible for supplying the final website text, photographs, videos and other content.
Where Jollyfox assists with editing, formatting or preparing content, this does not transfer responsibility for the accuracy of that content to Jollyfox.
The client remains responsible for checking and approving all content before the website is launched.
6. Design and revisions
Website design will be developed in accordance with the agreed project requirements.
Reasonable revisions to an agreed design may be included where specified in the quotation.
Significant changes to an approved design, changes in direction, additional pages or functionality, or work resulting from requirements that were not included in the original project may be charged separately.
Once a design or website has been approved by the client, further changes may be treated as additional work.
7. Website approval and launch
The client is responsible for reviewing and approving the website before launch.
Once the client has approved the website for launch, Jollyfox may proceed with making it publicly available.
Minor issues or corrections identified after launch will normally be dealt with as part of the agreed project where they relate to the original specification.
New requirements, changes of direction or additional functionality requested after approval may be charged separately.
8. Domains
Clients are encouraged to register and retain ownership of their own domain names.
Where Jollyfox assists with a domain, the client remains the beneficial owner of the domain unless otherwise agreed in writing.
The client is responsible for ensuring that domain registration and renewal details remain accurate and that renewal fees are paid when due.
Jollyfox is not responsible for the loss or suspension of a domain resulting from non-payment, incorrect registration information or failure to renew.
9. Website hosting
Where Jollyfox provides website hosting, hosting is charged at the rate specified in the client’s quotation or current agreement.
Jollyfox’s standard website hosting service includes:
Website hosting
SSL installation and renewal
Up to 10 GB website storage
Up to 10,000 monthly visitors
Daily website backups
Automatic annual renewal
Hosting requirements may be reviewed if website traffic, storage or technical requirements increase substantially.
Hosting fees are separate from website design, development and care-plan fees unless otherwise stated.
Jollyfox may decline to host a website that is not maintained to a reasonable standard where doing so could present a security or reliability risk to the hosting environment.
10. Website care and maintenance
Where a client chooses a Jollyfox website care plan, the specific services included will be set out in the relevant quotation or agreement.
Jollyfox care plans currently starts from €65 per month and may include:
WordPress and relevant plugin updates
Website monitoring
Basic website security and maintenance
Technical maintenance
One hour of website content/development work per month
The included development/content time is intended to be used within the relevant month and does not normally roll over to future months.
Unused monthly hours have no cash value and cannot normally be carried forward or exchanged for a refund.
Care-plan fees are charged monthly, normally on the first day of each month following website launch.
Where Jollyfox hosts a website, a Jollyfox care plan will be required in order to ensure that the website is appropriately and securely maintained.
11. Website backups
Where Jollyfox provides hosting or maintenance services that include backups, reasonable measures will be taken to maintain website backups.
Backups are intended as a recovery measure and should not be regarded as an absolute guarantee that every piece of website data can be recovered following every possible incident.
Clients remain responsible for retaining copies of important business information where appropriate.
12. Third-party services
Websites may depend on third-party services, including but not limited to:
WordPress
WordPress plugins and themes
Google services
Google Analytics
Google Search Console
reCAPTCHA
payment providers
email services
hosting providers
domain registrars

mapping, booking or other external services
Jollyfox is not responsible for changes, outages, pricing, discontinuation, security issues or functionality changes introduced by third-party providers.
Where a third-party service requires a paid licence or subscription, the client is responsible for those costs unless otherwise agreed.
13. Search Engine Optimisation (SEO)
SEO services are intended to improve a website’s technical quality, content, visibility and ability to perform in organic search results.
SEO results cannot be guaranteed.
Jollyfox does not guarantee:
A particular position in Google or another search engine
A first-page ranking
A particular number of visitors, enquiries or sales
A particular timeframe for achieving SEO results
Continued rankings following changes made by search engines
Search engine rankings are affected by many factors outside Jollyfox’s control, including search engine algorithms, competitor activity, industry conditions, website changes and third-party websites.
SEO recommendations may include changes to website content, structure, technical configuration, metadata, internal linking and other areas of the website.
The client remains responsible for approving significant changes to business information or claims made on the website.
14. SEO and Google services
Jollyfox may use services including Google Search Console, Google Analytics and other search-engine tools when providing SEO or website services.
Jollyfox does not control search engines and cannot guarantee how or when search engines will crawl, index or rank a website.
Search engine traffic and rankings may fluctuate without notice.
15. Payment
Payment terms will be stated in the quotation or invoice.
Unless otherwise agreed, invoices are payable within the period specified on the invoice.
Jollyfox reserves the right to pause work, suspend services or withhold launch of a website where invoices remain unpaid.
Additional work may be paused until outstanding balances have been paid.
16. Hosting and care-plan renewals
Hosting and recurring care-plan services will continue until cancelled in accordance with these Terms and Conditions.
Annual hosting charges are normally renewed automatically unless otherwise agreed.
Monthly care-plan services are normally renewed automatically and may be cancelled by either party with 30 days’ notice, unless a different notice period has been agreed in writing.
Outstanding invoices remain payable following cancellation.
17. Cancellation of website projects
If a client cancels a website project after work has commenced, the client remains responsible for payment for work already completed and any non-refundable costs incurred by Jollyfox on the client’s behalf.
Where a deposit or advance payment has been agreed, its treatment following cancellation will depend on the stage of the project and the work already carried out.
Jollyfox may suspend or terminate a project where the client has failed to provide required information, approvals or payment for a prolonged period.
18. Intellectual property
Unless otherwise agreed, the client will own the final website content and materials supplied by the client.
Upon full payment of all amounts due for the relevant project, the client will be entitled to use the completed website created specifically for them.
Jollyfox retains ownership of its pre-existing code, development methods, processes, know-how, reusable components, templates and other materials that were not created exclusively for the client.
Third-party themes, plugins, fonts, stock photography, software and other licensed materials remain subject to their respective licence terms.
19. Copyright and client-supplied materials
The client warrants that they have the necessary rights, permissions and licences to use materials supplied to Jollyfox.
The client agrees to indemnify Jollyfox against reasonable claims arising from the client’s unauthorised use of copyrighted, trademarked or otherwise protected material supplied by the client.
20. Website security
Jollyfox takes reasonable steps to maintain website security where website maintenance or care services are provided.
However, no website or online service can be guaranteed to be completely secure.
Jollyfox cannot be held responsible for security incidents caused by circumstances outside its reasonable control, including vulnerabilities in third-party software, compromised client accounts, weak passwords, compromised email accounts or failures of third-party providers.
Clients should use appropriate passwords and security measures and should not share login credentials unnecessarily.
21. Website availability
Jollyfox will take reasonable steps to keep hosted websites available and functioning.
However, uninterrupted availability cannot be guaranteed.
Websites may occasionally be unavailable due to maintenance, software updates, hosting problems, security incidents, third-party failures or circumstances outside Jollyfox’s reasonable control.
22. Limitation of liability
Jollyfox will provide services with reasonable care and skill.
To the extent permitted by law, Jollyfox will not be liable for indirect, consequential or unforeseeable losses arising from the use of, or inability to use, a website or digital service.
Jollyfox will not be responsible for loss of profits, loss of business, loss of revenue, loss of opportunity or loss of data except where such liability cannot legally be excluded or limited.
Nothing in these Terms and Conditions excludes or limits any liability that cannot legally be excluded or limited under Irish law.
23. Client responsibility for website operation
Following completion and approval of a website, the client remains responsible for the accuracy of business information published on the website and for ensuring that the website continues to meet any legal, regulatory or industry-specific requirements applicable to their business.
Jollyfox can provide technical and website-related assistance but does not provide legal, financial, tax, medical or regulatory advice.
24. Privacy and data protection
Jollyfox will process personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR), where applicable.
Where Jollyfox processes personal data on behalf of a client as part of providing website services, the parties may enter into additional data-processing terms where required.
The client remains responsible for determining the lawful basis for processing personal data collected through their website and for ensuring that their privacy policy, cookie notice and other notices are appropriate for their business.
25. Force majeure
Jollyfox will not be liable for delays or failure to provide services caused by circumstances beyond its reasonable control.
This may include, for example, internet or hosting failures, power outages, cyber incidents, third-party service failures, natural disasters, government action, illness or other circumstances that could not reasonably have been prevented.
26. Termination of ongoing services
Jollyfox may terminate an ongoing service where:
invoices remain unpaid;
the client seriously breaches these Terms and Conditions;
continuing to provide the service would create a significant security, legal or technical risk; or
the service can no longer reasonably be provided.
Where appropriate, Jollyfox will provide reasonable notice before terminating an ongoing service.
On termination, any outstanding fees remain payable.
27. Transfer of website
Where a client decides to move their website to another developer or hosting provider, Jollyfox will make reasonable efforts to facilitate the transfer, subject to payment of all outstanding invoices.
Additional time required to prepare, migrate or troubleshoot a website transfer may be charged at the standard hourly rate.
28. Portfolio and promotional use
Unless the client specifically requests otherwise, Jollyfox may identify a completed website as work carried out by Jollyfox and may display a link or screenshot of the website in its portfolio, website or promotional materials.
Where a project is confidential or the client requests that it not be used for promotional purposes, Jollyfox will respect that request.
29. Changes to these Terms and Conditions
Jollyfox may update these Terms and Conditions from time to time.
The Terms and Conditions applying to a particular project will normally be those accepted by the client when the project commenced.
Changes to ongoing services may be communicated to clients where reasonably necessary.
30. Governing law
These Terms and Conditions are governed by the laws of Ireland.
Any dispute arising in connection with these Terms and Conditions will be subject to the jurisdiction of the Irish courts, subject to any mandatory rights or protections available to the client under applicable law.
31. Acceptance
Approval of a quotation, proposal or project, payment of an agreed deposit, or instruction to Jollyfox to commence work constitutes acceptance of these Terms and Conditions.
Where a separate written agreement or proposal contains terms that specifically conflict with these Terms and Conditions, the specific terms agreed for that project will take precedence.
